Your Account and Registration Obligations

A- When you register as a member on the Site, you are required to:

• Indicate agreement to these Terms and Conditions
• Provide true, accurate, and complete contact information and identification details
• Avoid including: (1) any of your contact details, such as your email addresses, telephone numbers, or any other personal details; and (2) the word “Badak 3ikar” in your registration user ID
• Avoid including the word “Badak 3ikar” or any of its derivatives

B- Use of our site

Badak 3ikar is not liable for any direct, indirect or consequential loss or loss of profits, goodwill or damage whatsoever resulting from the disclosure or misuse of your username and/or password. By becoming a member on the site, you consent, warrant, and acknowledge that you will:

• Accept responsibility for all activities that occur under your account or password
• Maintain the confidentiality of your account and password
• Restrict access to and use of your account
• Notify Badak 3ikar immediately of any unauthorized use of your account or any breach of security
• Never use another member’s account at any time, without the express permission of the account holder
• Never disclose your contact details including but not limited to phone numbers, addresses, or email addresses in commerce or listing processes, or anywhere on the site including the feedback area, discussion forum or through any e-mail feature of the site intended to bypass use of Badak 3ikar
• Never use another user’s data for any purpose other than fulfilling a relevant transaction resulting from purchasing item(s) on the Site
• Reimburse Badak 3ikar for any improper, unauthorized, or illegal use of your account by you or by any person obtaining access to the site through your designated username and password, regardless whether you authorized such access or not
• Treat any other member’s information provided to you by Badak 3ikar or any other user as strictly confidential
• Regularly update the registration data to keep it true, accurate, up-to-date, and complete. If you provide any information that is false, inaccurate, not current or incomplete or if Badak 3ikar believes that such information is false, inaccurate, not current or incomplete, or not in accordance with these Terms and Conditions, Badak 3ikar reserves the right to suspend, limit or withdraw your access to the site and/or your membership of the site. Badak 3ikar may, in its sole discretion and at any time, make any inquiries it considers necessary (whether directly or through a third party), and request that you provide it with further information or documentation, including without limitation to verify your identity and/or ownership of your financial instruments. You agree to provide any information and/or documentation to Badak 3ikar upon such requests. You acknowledge and agree that if you do not, Badak 3ikar, may, without liability, limit, suspend or withdraw your access to the site and/or your membership of the Site. We also reserve the right to cancel unconfirmed/unverified accounts or accounts that have been inactive for a long time
• Never engage in false or fraudulent activity in connection with the use of the site. You acknowledge and consent that Badak 3ikar may suspend, limit or withdraw your access to the site and/or your membership of the site if you are found to have engaged in false or fraudulent activity in connection with the use of the site
• Never transfer your site account (including feedback) and username to another party without our explicit consent

Electronic Communications

When you use Badak 3ikar, you consent to receive communications from us electronically, including, but not limited to, emails, texts messages, messages on and through the site. You can retain copies of these communications for your records and you agree that all legal documents and communication that we provide to you electronically satisfy any legal requirement that such communications be in writing. Badak 3ikar will ask for your agreement during the registration process to send you promotional emails that let you know about new changes, features, or promotions on the site. If at any time you decide you do not wish to receive such promotional emails, you can opt out of receiving such emails by clicking on the link at the bottom of any promotional email sent by us or by sending us an email to support@badak3ikar.com

Payment by Agencies, Agents and Sellers

Badak 3ikar offers the option to pay on the site either online or through any other payment methods made available at the time of posting these Terms.

Badak 3ikar is not involved in the process of buying and selling on the site. All sales and purchases continue to be bipartite contracts between the shopper and the vendor and Badak 3ikar is not responsible for any non-performance, breach or any other claim relating to or arising out of any contract entered into between any shopper and vendor, nor does Badak 3ikar have any fiduciary duty to any user.

Copyright

All content posted on the Site, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software, is the property of Badak 3ikar and is protected by copyright, trademarks, patents or other intellectual property rights and laws. The compilation of the content on the Site is the exclusive property and copyright of Badak 3ikar and is protected by copyright, trademarks, patents or other intellectual property rights and laws.

Trademarks

The name Badak 3ikar and the other Badak 3ikar phrases, logos, and related designs that we use in connection with our services are either registered or unregistered trademarks of Badak 3ikar and are protected by international trademark and other intellectual property rights and laws. Badak 3ikar’s trademarks may not be used in connection with any product or service that is not owned by Badak 3ikar or in any manner that may harm Badak 3ikar. All other trademarks not owned by Badak 3ikar that appear on the Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Badak 3ikar.

Disclaimer

The site is only a platform where users and realtors may interact with one another for their transactions. The site is not and cannot be a party to or control in any manner any transaction between users and realtors of the site. The site does not provide any guarantee that a user or realtor will complete a transaction. You will not hold Badak 3ikar responsible for other users’ content, action, or inaction, or items or information they list or post. By agreeing to these Terms and Conditions, you acknowledge and consent to the following conditions:

• Badak 3ikar is not responsible for any non-performance or breach of any contract entered into between users and realtors and does not transfer legal ownership of items from the realtor to the user. The contract for sale shall be a strictly bipartite contract between the user and realtor. At no time shall any right, title or interest over any item vest with Badak 3ikar nor shall Badak 3ikar have any obligations or liabilities in respect of such item or the contract between the user and realtor.
• Badak 3ikar is not responsible for any unsatisfactory or delayed performance, losses, damages or delays.
• Badak 3ikar is not required to resolve any dispute or disagreement between shopper and realtor or users.
• Badak 3ikar has no control over and does not guarantee the quality, safety or legality of items advertised, the truth or accuracy of users’ content or listings, the ability of vendors to sell items, or the ability of shoppers to pay for items.
• Badak 3ikar does not make any representation or warranty as to the attributes (including but not limited to quality, worth or marketability) of the properties proposed to be sold or purchased on the site. In particular, Badak 3ikar does not implicitly or explicitly support or endorse the sale or purchase of any properties on the site, nor is Badak 3ikar a supplier of any properties sold by realtors or purchased by shoppers.
• Badak 3ikar does not make any representation or warranty as to the attributes (including but not limited to legal title, creditworthiness, or identity) of any of its users.
• The site may include links to third party websites that are controlled by and maintained by others. Badak 3ikar cannot accept any responsibility for the materials or offers for goods or services featured on such websites and any link to such websites is not an endorsement of such websites or a warranty that such websites will be free of viruses or other such items of a destructive nature and you acknowledge and agree that Badak 3ikar is not responsible for the content or availability of any such sites.
• Users shall independently agree upon the manner and terms and conditions of delivery, payment, and insurance as between each other and Badak 3ikar holds no responsibility in respect of such arrangements.
• Badak 3ikar accepts no liability for any errors or omissions, whether on behalf of itself or third parties.
• Badak 3ikar excludes all implied warranties, terms and conditions and is not liable for any loss of money, goodwill or reputation, or any special, indirect or consequential damages arising directly or indirectly, out of your use of or your inability to use the Site.
• You release and indemnify Badak 3ikar and/or any of its officers and representatives in respect of any claim, demand, dispute, cost, damage, liability or other consequence (direct or indirect) of any of the actions of the users of the Site and you specifically waive any claims that you may have in this respect under any applicable law.

Username and Password

To access your account or make a transaction on the Site, you must enter your username and password. Choose your password carefully using a combination of numbers, special characters, and lower-case and upper-case letters. Remember to change your password frequently and be careful not to share your username and password with anyone. If you are concerned that your password has been compromised, change your password immediately by logging to the My Account section of the Site.

Breach of User Agreement

In connection with your use of the site, you will not breach these Terms & Conditions. If you do, Badak 3ikar may immediately and without liability limit your activity, terminate your membership on the site indefinitely or temporarily, end your listings, and/or warn other users of your actions.

Badak 3ikar may at any time and in its sole discretion reinstate suspended users. A user that has been indefinitely suspended or had their membership withdrawn may not register or attempt to register with Badak 3ikar or use the site in any manner whatsoever until such time that such user is reinstated by Badak 3ikar. Notwithstanding the foregoing, if you breach these Terms & Conditions Badak 3ikar reserves the right to recover any amounts due and owing by you to Badak 3ikar or any losses and damages caused by you to Badak 3ikar and to take such steps, including legal action and/or the initiation of criminal proceedings against you, as Badak 3ikar in its sole discretion deems necessary.

Providing Feedback

Shoppers on the site can provide reviews on realtors store page. Your feedback will be displayed along with your user ID on the site. You cannot withdraw the review once you have posted it on the site. Badak 3ikar will not be liable for the review that you post on the site. If you continuously receive negative review ratings, Badak 3ikar reserves the right to suspend, limit or withdraw your access to the site and/or your membership of the site. You acknowledge and agree that you shall not market or export your Badak 3ikar review rating to any third party other than on the site.

Withdrawal of Access and/or Membership

Badak 3ikar may limit, suspend or withdraw your membership and / or your access to the site at any time, without notice, for any reason, including, but not limited to, breach of this Agreement.

Warranties

All information, content, materials, products, and services included on or otherwise made available to you through the site are provided by Badak 3ikar on an “as is” and “as available” basis, unless otherwise stated in writing. Badak 3ikar makes no representation, endorsements, or warranties of any kind, express or implied, as to the accuracy, reliability, or completeness of any content on the site or the operation of the site or the information, content, materials, products, and services included on or otherwise made available through the site unless otherwise specified in writing. You expressly agree that your use of the site is at your own risk and that Badak 3ikar has no obligation to offer support for the site.

Limitation of Liabilities

The realtors whose properties are available on the Site for sale or rent are independent suppliers and are not employees of Badak 3ikar. In no event shall Badak 3ikar be liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any vendor, for any personal injuries, death, damage, or losses of profit, goodwill, data, information, and other intangible losses resulting from a direct or indirect connection with your use of the site, or costs resulting therefrom. You acknowledge and agree that you are fully responsible for your use of the site. You acknowledge and agree that any information you send or receive during your membership and/or use of the site may not be secure and may be intercepted by unauthorized parties. You acknowledge and agree that your use of the site is at your sole risk and that the site is made available to you at no charge. Recognizing such, you acknowledge and agree that, to the fullest extent permitted by applicable law (including, without limitation, consumer protection law), Badak 3ikar will not be liable for any direct, indirect, punitive, exemplary, incidental, special, consequential or other damages arising out of or in any way related to (a) this site, or any other site or resource you access through a link from this site; (b) any action we take or fail to take as a result of communications you send to us; (c) your Badak 3ikar membership, any termination or cancelation of your membership; (d) any products or services made available or purchased through the site, including any damages or injury arising from any use of such products; (d) any delay or inability to use the site or any information, products or services advertised in or obtained through the site; or (e) the modification, removal or deletion of any content submitted or posted on the site. If you are dissatisfied with the site or any content or materials on it, your sole exclusive remedy is to discontinue your use of it.

Indemnity

You agree to defend, indemnify and hold Badak 3ikar and its stakeholders (owners, employers, investors, users, buyers, partners, and other sellers) harmless from and against any and all claims, damages, costs, actions, losses, liabilities, and expenses including legal expenses and attorney’s fees, arising from or related to your use of the Site and/or your breach of any representation, warranty, or other provision of the Terms & Conditions or your violation of any law or the rights of a third party.

No Partnership or Agency

Nothing in this Agreement shall be deemed to constitute a partnership or agency in law between you and Badak 3ikar and you shall have no authority to bind Badak 3ikar in any manner.

Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of Lebanon. Any dispute, claim or controversy arising out of or in connection with these Terms & Conditions (including a dispute, claim or controversy relating to any non-contractual obligations arising out of or in connection with these Terms & Conditions) shall be referred to the parties’ respective officers for resolution. If any dispute remains unresolved 14 days after being referred to the officers, it shall be finally settled by one arbitrator appointed in accordance with the rules of conciliation and arbitration of the Lebanese law. The seat, or legal place, of arbitration shall be Metn. The language to be used in the arbitration shall be English. The award shall be final and binding and the parties hereby waive any right they may have to appeal such award. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction against any matters relating to intellectual property rights.

Transfer of Rights and Obligations

You hereby grant Badak 3ikar the right to, and irrevocably acknowledge and agree that Badak 3ikar may at any time, transfer all or any part of its rights, benefits, obligations or liabilities (whether express or assumed) under these Terms & Conditions to any of its affiliates without requiring your further specific agreement. Badak 3ikar agrees to use all reasonable endeavors to provide notice to you of any transfer by way of a posting on the Site. You may not at any time, without the prior written consent of Badak 3ikar, transfer all or any part of your rights, benefits, obligations or liabilities (whether express or assumed) under these Terms & Conditions without the prior written consent of Badak 3ikar.

Amendments to These Terms & Conditions

Badak 3ikar reserves the right to make changes to the Site, policies, and these Terms & Conditions at any time without your prior consent and with immediate effect by posting a notice of the amendment on the Site. Badak 3ikar will notify you of any amendment to these Terms and Conditions that materially increases your obligations or decreases your rights in accordance with the terms of these Terms & Conditions.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and Badak 3ikar with respect to the subject matter hereof.
